Terms & Conditions
   The following terms and conditions of sale (these "Terms") are effective for all products purchased from Rydale Medical, Inc. ("Rydale Medical Inc.") on or after February 12, 2007 (the "Effective Date"). On and after the Effective Date, these Terms will supersede all prior terms and conditions regarding the purchase and sale of Rydale Medical Inc. products (the "products"). Rydale Medical Inc. reserves the right to modify these Terms from time to time without notice in its sole discretion. Any modification of these Terms shall be effective for all purchases placed by Buyer with Rydale Medical Inc. on or after the Effective Date.  By making a purchase with Rydale Medical Inc. on or after the Effective Date, Buyer shall be deemed to have accepted these Terms.

Product Images
   Buyer acknowledges that the images of products on this web site may not exactly reflect the products Buyer receives. Design and color variations may exist. While Rydale Medical Inc. has tried to accurately display the colors of products, the actual colors you see will depend on your computer monitor and may not be accurate.

Payment
   All prices listed on this web site are quoted in U.S. dollars and all payments to Rydale Medical Inc. must be made in U.S. dollars. We accept Visa, Mastercard, Discover, and American Express. Rydale Medical Inc. does not accept installment payments. If for some reason the Buyer's credit card information is not approved, title to the products shall remain with Rydale Medical Inc. until the products are paid for in full by the Buyer. In the event Rydale Medical Inc. employs the services of any attorney to enforce payment from Buyer or any of these Terms, Buyer agrees to pay all attorney's fees and court costs so incurred by Rydale Medical Inc.

Changes to Prices and Products
   Changes to Prices and Products
The prices and types of products listed on any website or catalog of Rydale Medical Inc. are subject to change at any time. Prices shown do not include federal, state, local, sales, use or similar taxes. Such taxes will be added whenever required by law and Buyer is responsible for all such taxes. Rydale Medical Inc. reserves the right to change prices and products at any time and for any reason, including due to errors, changing market conditions, product discontinuation or typographical errors in advertisements. Rydale Medical Inc. is not responsible for manufacturer price changes, which may occur at any time without notice.

No Warranty
   Rydale Medical Inc.'s products are sold subject to the warranty provided by the manufacturer of the product (and any pass through warranties referenced in the manufacturer's warranty), a copy of which is either included with the product or available from the manufacturer upon request. EXCEPT AS STATED IN THE PREVIOUS SENTENCE AND TO THE EXTENT PERMITTED BY LAW, RYDALE MEDICAL INC.EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, WHETHER ORAL OR IN WRITING, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.   No employee or other agent of Rydale Medical Inc. is authorized to give any warranty on behalf of Rydale Medical Inc., except as authorized in writing. Buyer agrees that it bears sole responsibility to ensure that its use of the products conforms with any and all applicable manufacturer's manuals and policies and any federal, state or local laws. It is the Buyer's responsibility to know how to correctly use the products. Rydale Medical Inc. shall not be liable for any misuse of the products by Buyer. Please consult the manufacturer's manuals and warranty for information regarding use of the products.

Shipping and Risk of Loss
   All products will be shipped to Buyer via common carrier. Buyer is responsible for shipping and handling charges. Original shipping and/or handling charges paid by Buyer are not returnable or refundable. Risk of loss for the products shall pass to Buyer upon the delivery of the products by Rydale Medical Inc. to a common carrier for shipment to Buyer. Buyer will bear the risk of loss for damage to the products in transit and Buyer shall be responsible for transportation costs, insurance costs, taxes charged and any other governmental levy imposed upon the transportation of the products. Upon receipt of the products, please inspect the contents of shipping packages for damage. Damage claims should be issued to the shipping carrier at the time of delivery. Do not attempt to use products which have been damaged during shipping. Use of a damaged product or misuse of a product may cause serious injury and may void the manufacturer's warranty.

Order Cancellation/Modification
   All change/cancellation requests must be received before the products have been shipped to Buyer. To cancel or change an order please call Customer Service at 1-888-697-3949 9:00AM-5:00PM, CST, Monday through Friday).

Lost Packages
   If you do not receive a package which has been shipped to you from Rydale Medical Inc., please call our customer service department at 1-888-697-3949, 9:00AM-5:00PM CST, Monday through Friday, for shipment tracking information. Lost packages must be reported to Rydale Medical Inc., as well as the shipping carrier, within 24 hours. Lost packages are the responsibility of the shipping carrier. Rydale Medical Inc. may instruct you to contact the shipping carrier directly regarding lost packages.

Return and Exchange Policy
   If you do not receive a package which has been shipped to you from Rydale Medical Inc., please call our customer service department at 1-888-697-3949, 9:00AM-5:00PM CST, Monday through Friday, for shipment tracking information. Return & Exchange Policy
   Please keep all packing material and documentation in the event that your products have to be serviced or returned.

Non-Returnable Products
   Medical supplies and products that are intended for a single-use or limited number of uses cannot be returned or exchanged. In addition, due to health regulations, sanitary and safety concerns, products that may be used to come into direct contact with the human body or that have been worn cannot be returned or exchanged. Such items include, but are not limited to, incontinence products, hand splints, commodes, raised toilet seats, ostomy, etc.  Hygiene products are denoted on the website by an "HY" icon. If you have any questions, please contact Customer Service at: 1-888-697-3949 or customerservice@rydalemedical.com for complete details prior to placing your order.

Non-Defective Products
   If you are not satisfied with your product, you must contact Rydale Medical Inc.'s customer service department within 72 hours of receiving the product at 1-888-697-3949 (9:00AM-5:00PM, CST, Monday through Friday) or e-mail: customerservice@rydalemedical.com. Rydale Medical Inc. will determine in its sole discretion whether the product is a non-returnable product. If the product is returnable, Rydale Medical Inc. will instruct Buyer to follow the "Return Procedures" set forth below.

Defective Products
   If you believe that the product is defective (not due to shipping damage), you must contact Rydale Medical Inc.'s Customer Service department within 30 days after the sale of the product at 1-888-697-3949 (9:00AM-5:00PM, CST, Monday through Friday) or e-mail: customerservice@rydalemedical.com.   If your product is a wheelchair, scooter, patient lift or other large item, you will be instructed to contact the manufacturer and to ship the product directly to the manufacturer. For all other items, Rydale Medical Inc. will determine in its sole discretion whether the product is a non-returnable product. If the product is returnable, Rydale Medical Inc. will instruct Buyer to follow the "Return Procedures" set forth below. Upon receipt of a returned product, Rydale Medical Inc. will consult with the manufacturer to determine whether the product is defective. If the product is determined to be defective, Rydale Medical Inc. will pay to have the replacement product shipped to Buyer.

Return Procedures
   Before you may return an item to Rydale Medical Inc., you must obtain a Returned Merchandise Authorization (RMA) number and shipping label to return the product to Rydale Medical Inc. Packages without an RMA number will not be accepted for return at either our warehouses or corporate headquarters. Do not send any returns to our corporate headquarters listed on our Customer Service page - they will not be accepted. You will be provided with the return address along with your RMA number.  Products being returned to Rydale Medical Inc. must be returned within 10 days of receiving your Return Authorization Number. The RMA number must be clearly visible on the outside of your shipping box. Items returned without a RMA or with an outdated RMA number will be subject to an additional 10% processing fee and a $10 administrative charge.  All product returns or exchanges are subject to inspection by Rydale Medical Inc. and must be in resalable condition, 100% complete, and contain the original packing materials, manuals, blank warranty cards and other accessories provided by the manufacturer. Any merchandise deemed unsuitable for resale will not be accepted for exchange or refund.  If the products are returned to Rydale Medical Inc. in satisfactory condition, in Rydale Medical Inc.'s sole discretion, Rydale Medical Inc. will either, in its discretion: allow Buyer to exchange the product or issue Buyer a credit via the same method of payment originally used by Buyer.

Return Shipments
   Unless otherwise indicated, the Buyer is responsible for all shipping charges and risk of loss on all return shipments. Rydale Medical Inc. suggests that you only use reputable carriers for returns who are capable of providing proof of delivery as well as insuring your shipment. No C.O.D.s will be accepted by Rydale. All shipments must be sent prepaid. *UNAUTHORIZED RETURN NOTIFICATION* Buyers will be charged for shipping fees associated with unauthorized returns that have to be redirected to Rydale Medical Inc.'s warehouse locations.

Restocking Fees
   All returns are subject to a 15% restocking fee and must be completed within 30 days of the sale. If any shipping and handling charges are paid by Rydale Medical Inc. in order to return the product to Rydale Medical Inc., such charges will be deducted from the credit on returned items.

Limitation of Liability
NEITHER RYDALE MEDICAL INC. NOR ITS officers, members, managers, employees or agents SHALL BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, SPECIAL OR PUNITIVE DAMAGES FOR LOSS OF PROFITS, LOSS OF GOODWILL OR BUSINESS REPUTATION OR BUSINESS INTERRUPTION) ARISING OUT OF OR CONNECTED IN ANY WAY WITH THE PRODUCTS OR BUYER'S USE OR MISUSE THEREOF, EVEN IF RYDALE MEDICAL INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event SHALL RYDALE MEDICAL'S liability TO BUYER exceed the price paid by the Buyer for the ProductS. Buyer agrees to indemnify Rydale Medical Inc. and its shareholders, directors, officers and agents from any and all claims, actions, suits, proceedings, costs, expenses, damages and liabilities (including but not limited to attorneys' fees and costs of defense), arising out of, connected with, or resulting from, directly or indirectly, the possession, use, operation, maintenance or repair of the products by Buyer, its successors, assigns or any agents thereof. 


Export
   The products displayed on this web site can be ordered and delivered only within the United States. If goods herein being purchased are being purchased for purposes of export, purchaser must obtain from the federal government certain export documentation before shipping to a foreign country. In addition, manufacturers' warranties for exported goods may vary or even be null and void. If you have questions, please inquire.

Force Majeure
   Rydale Medical Inc. shall not be liable for any failure or delay in performing its obligations under these Terms if the performance of such obligation is prevented, delayed, retarded or hindered by reason of fire, explosion, flood, earthquake, unusually severe weather, act of God, war, invasion, act of terrorism, act of the government in either its sovereign or contractual capacity, epidemic, quarantine restriction, labor strike, freight embargo, delays by or disputes with carriers, manufacturers or suppliers, or any cause beyond the control of Rydale Medical Inc.

Entire Agreement
   These Terms set forth the entire agreement between Rydale Medical Inc. and Buyer with respect to the subject matter hereof and supersede all prior agreements and understandings, oral or written, between the parties with respect to the subject matter hereof.

Severability
   If, for any reason whatsoever, one or more of the provisions of these Terms shall be held or deemed to be illegal, invalid or unenforceable, the remaining provisions of these Terms shall not be affected thereby and shall remain in full force and effect.

Governing Law
   These Terms and the acceptance of them by Buyer shall be a contract made in the State of Nebraska and governed by the laws thereof.

1. What information do we collect from you?
     In order to better provide you with our numerous services, we collect two types of information about our users: Personally Identifiable Information and Non-Personally Identifiable Information. Our primary goal in collecting information from you is to provide you with a smooth, efficient, and customized experience while using our site and better assist you with your medical devices needs.

Personally Identifiable Information: This refers to information that lets us know the specifics of who you are. 2. With whom do we share your information?
     We do not sell, trade, or rent your Personally Identifiable Information to others. We do provide some of our services through contractual arrangements with affiliates, services providers, partners and other third parties. We and our service partners use your Personally Identifiable Information to operate our sites and to deliver their services. For example, we must release your credit card information to the card-issuing bank to confirm payment for products and services purchased on this site; release your address information to the delivery service to deliver products that you ordered; and provide order information to third parties that help us provide customer service.

We will encourage our service partners to adopt and post privacy policies. However, the use of your Personally Identifiable Information by our service partners is governed by the privacy policies of those service partners, and is not subject to our control.

Occasionally we may be required by law enforcement or judicial authorities to provide Personally Identifiable Information to the appropriate governmental authorities. We may also provide Non-Personally Identifiable Information about our customers' sales, traffic patterns, and related site information to third party advertisers, but these statistics do not include any Personally Identifiable Information.
 
3. Where do we collect information from you and how do we use it?
     We do not collect any Personally Identifiable Information about you unless you voluntarily provide it to us. You provide certain Personally Identifiable Information to us when you:
register for our services and register your e-mail address with us;
sign up for special offers from selected third parties;
send e-mail messages, submit forms or transmit other information by telephone or letter; or
submit your credit card or other payment information when ordering and purchasing products and services on our site.  (See “Special Note On Ordering” below.)

We may also collect information from you at other points on our site that state that such information is being collected.
Special Note on Ordering:  In order to most efficiently serve you, credit card transactions and order fulfillment are handled by established third party banking, processing agents and distribution institutions. They receive the information needed to verify and authorize your credit card or other payment information and to process and ship your order.
If you decide to purchase a product on-line, we will collect only the information necessary for authentication and billing purposes. When you order, we need to know your name, e-mail address, delivery address, credit card number and expiration date, and CVS number. This allows us to process and fulfill your orders, and to notify you of your order status. If you decide to participate in an on-line survey or use one of our other promotional features, such as a free trial for a particular product, we may ask for your name, address, e-mail address and other pertinent information to administer the contest and tabulate survey results items.

In addition, we may also collect, or our third party ad server and/or content server may collect, certain Non-Personally Identifiable Information. This information is ultimately stored in the form of store categories, and, in some cases, specific URLs. We use your IP address to diagnose problems with our servers, software, to administer our site and to gather demographic information. Our third party ad servers will also provide us with summary, but not individual, reports that will tell us how many ads were presented and clicked upon at our site.

You may ask to have the information on your account deleted or removed; however, because we keep track of past transactions, you cannot delete information associated with past transactions on this site.      We may, from time to time, send you e-mail regarding our products and services. In addition, if you indicated upon registration that you are interested in receiving offers or information from us and our partners, we may occasionally send you direct mail about products and services that we feel may be of interest to you. (Can we make the option of indicating upon registration available?) Only Rydale Medical, Inc. (or agents working on behalf of Rydale Medical, Inc. and under confidentiality agreements) will send you these direct mailings and only if you indicated that you do not object to these offers. 6. What security precautions are in place to protect against the loss, misuse, or alteration of your information?
     At our site you can be assured that your Personally Identifiable Information is secure, consistent with current industry standards. The importance of security for all Personally Identifiable Information associated with our user is of utmost concern to us. Your Personally Identifiable Information is protected in several ways. Access by you to your Personally Identifiable Information is available through a password and unique customer ID selected by you. This password is encrypted. We recommend that you do not divulge your password to anyone. In addition, your Personally Identifiable Information resides on a secure server that only selected Rydale Medical, Inc. personnel and contractors have access to via password. We encrypt your Personally Identifiable Information and thereby prevent unauthorized parties from viewing such information when it is transmitted to us.

Personal information that you provide that is not Personally Identifiable Information also resides on a secure server and is only accessible via password. Since this information is not accessible from outside Rydale Medical, Inc. you will not be asked to select a password in order to view or modify such information.

Wherever we collect sensitive information, such as credit card data, that information is encrypted and transmitted to us by a secure server.  You can verify this by looking for a closed lock icon at the bottom of your web browser, or looking for "https" at the beginning of the address of the web page. To make sure you have the latest security features on your browser, download and install the latest version of Microsoft Internet Explorer, Firefox, or Netscape Communicator.

At Rydale Medical, Inc., we take your credit card payment information very seriously. For this reason, we have taken the necessary steps to ensure that your transaction process is harmless, confidential, and correct. Rydale Medical, Inc. is secured via Thawte SSL (Secure Socket Layer) utilizing 128-bit or 256-bit SSL thus offering the maximum level of encryption of security available. This data encrypting technology is employed each time that you provide personal or account information on our website in order to protect you from unauthorized use of information you sent to our server.

While we use encryption to protect sensitive information transmitted online, we also protect your information offline. Employee access to information is restricted by our “need to know” policy. Only employees who need the information to perform a specific job (for example, billing or customer service) are granted access to personally identifiable customer information needed to complete a specific task.  The computers/servers in which we store personally identifiable information are kept in a secure environment. Our employees use password-protected screen-savers upon leaving and returning to their desks. Furthermore, ALL employees are continually informed of our security and privacy practices through mandatory training courses throughout the year. Every quarter, as well as any time new policies are added, our employees are notified and/or reminded about the importance we place on customer privacy, confidentiality, server security, and the employee’s responsibility to ensure that our user’s information is protected.

As part of our order processing procedures, all orders are screened for potential fraud-like activity, unauthorized use or illegal activity. We reserve the right to refuse to process an order due to suspected fraud or unauthorized or illegal activity. If such is the case, we may reject your order or our Customer Service department may call you at the phone number you provided to confirm your order. We also reserve the right to cancel any accounts or refuse to ship to certain addresses due to suspected fraud or unauthorized or illegal activity. We take these measures to protect our customers as well as ourselves from fraud or other unauthorized or illegal activity.

We use the information you provide about yourself when placing an order only to complete that order. We do not sell, trade or rent your personal information to others. We may provide summary statistics about our customers' interests and preferences, products sold, traffic patterns and related site information to a reputable third party. These statistics do not include personally identifiable information; they are used only to enhance the design of our Web site and customize new products offerings to our customers. 7. Do we use "cookies"?
     When you use our site we will store cookies on your computer in order to facilitate and customize your use of our site. Our cookies store randomly assigned user identification numbers, the state where you are located, and your first name to welcome you back to our site.
